StratFlow Terms and Conditions

Welcome to StratFlow. Please read these Terms and Conditions carefully before using our platform. By accessing or using our platform, you agree to be bound by these terms. If you have any questions or feedback regarding these terms, please contact us via the ThreePoints Solutions website.

1. About the Service and Operator
• Platform Operator: StratFlow is owned and operated by ThreePoints Solutions.
• Contact Details: For any commercial, legal, or support inquiries, please contact us directly at stratflow@threepointssolutions.com (or your configured corporate support gateway).
• Service Scope: StratFlow provides comprehensive workspace workflow support designed to transition your high-level strategy documents into active delivery components. Supported application functional areas include strategy diagrams, OKRs, work items, user stories, risk assessments, sprints, traceability matrices, governance, executive reporting, persona feedback, board reviews, and connected integrations (such as Jira and Git).

2. Governing Law and Jurisdiction
• New Zealand Jurisdiction: These Terms and Conditions, and any dispute or claim arising out of or in connection with them or their subject matter, shall be governed by and construed in accordance with the laws of New Zealand.
• Forum: The customer and ThreePoints Solutions irrevocably agree that the courts of New Zealand shall have exclusive jurisdiction to settle any dispute or claim arising under these terms.

3. Business Use and Contracting Out (Statutory Protections)
StratFlow is a business productivity and strategy optimisation platform intended for commercial, corporate, and professional operations. To the maximum extent permitted by New Zealand law:
• Consumer Guarantees Act 1993 (CGA): Where the customer acquires, or holds itself out as acquiring, the StratFlow service for the purposes of a business, the customer agrees that the provisions of the Consumer Guarantees Act 1993 do not apply to the supply of the service or these terms.
• Fair Trading Act 1986 (FTA): The parties agree that the service is supplied and acquired in trade, that they are both in trade, and that it is fair and reasonable that they are bound by this clause. Consequently, the parties agree to contract out of sections 9, 12A, and 13 of the Fair Trading Act 1986.
• Contract and Commercial Law Act 2017: The provisions of Part 2 of the Contract and Commercial Law Act 2017 are modified and excluded by these terms to the maximum extent permitted by law.

4. The Customer Responsibility Model (AI & Assistive Outputs)
StratFlow utilises advanced artificial intelligence and algorithmic models to optimise your workflow; however, our platform operates strictly on a shared-responsibility model :
• Assistive Nature: All StratFlow outputs—including but not limited to AI-assisted advice, generated plans, user stories, prioritisation matrices (RICE, WSJF, or baseline scoring), persona feedback, governance signals, summaries, diagrams, risk assessments, and board recommendations—are purely assistive in nature .
• No Guarantees of Accuracy: ThreePoints Solutions does not guarantee that AI-generated advice, development plans, or workflow recommendations are complete, accurate, defect-free, or inherently fit for production development use without customer review.
• Human Oversight Required: Relying on, acting upon, or implementing any StratFlow output remains the customer's sole responsibility. Customers are strictly responsible for maintaining human oversight, checking core assumptions, validating outputs, and ultimately deciding whether to accept, reject, edit, or ignore recommendations.
• Configuration Ownership: Customers retain total responsibility for defining, adjusting, and approving target personas, persona prompts, board advice settings, board members, and any resulting changes to their workflow configurations.

5. The Right To Use Our Service
• Access Rights: This right remains valid as long as the underlying organisational subscription remains active and in good financial standing, or until the account is formally terminated. For invited users, access remains subject to permissions managed by your organisation's administrator and may be revoked at any time.
• Trial Evaluators: If you are accessing the service via a free, promotional, or evaluation trial, your right to use the platform is strictly limited to the duration agreed upon or specified directly within the application interfaces. Upon the expiration of the trial period, access will automatically cease. Trial users acknowledge that they have no ongoing entitlements, claims, or further demands against ThreePoints Solutions unless and until they formally subscribe to a paid package plan.

6. AI Vendor Infrastructure and Enterprise Commitments
• Enterprise Infrastructure: StratFlow processes and routes all generative AI requests through paid, developer/enterprise-tier infrastructure environments (including the Google Gemini API Paid Services tier, Google Cloud Vertex AI platforms, OpenAI, and Anthropic).
• Training Prohibitions: Customer content transmitted via these corporate endpoints is mathematically isolated and is strictly prohibited from being used to train external, public, or foundation machine learning models without prior explicit instruction.

7. Accountability for Professional Outcomes
• Business Results: Customers remain solely accountable for the development, delivery, operational, business, compliance, regulatory, security, and commercial results arising from their use of StratFlow outputs.
• Outcome Disclaimer: ThreePoints Solutions explicitly disclaims any guarantee regarding downstream development outcomes, delivery timelines, successful implementations, or commercial success related to the generated plans.
• Requirement Alignment: It is the customer's responsibility to verify that all outputs comply with their specific business, technical, legal, regulatory, security, privacy, operational, and commercial requirements.

8. Acceptable Use and Restrictions
• Lawful Use: Customers must use StratFlow in compliance with all applicable laws and regulations.
• Data Guardrails & Minimisation: Users are prohibited from submitting or injecting unconsented system secrets, API access tokens, raw passwords, illegal content, or any customer data that they lack the explicit legal authority to process.
• Unnecessary Exposure: Customers are strictly responsible for ensuring that they do not unnecessarily upload, submit, or disclose sensitive organisational information or personally identifiable information (PII) that is not required for standard workflow execution. Inputs must be restricted to context relevant to strategy-to-delivery operations to prevent accidental data exposure.
• Policy Integration: Your use of the platform is also governed by our standard Acceptable Use Policy.

9. Billing, Packages, and Service Suspension
• Commercial Models: Standard payment models, billing structures, package states, and explicit support boundaries apply based on your selected subscription level.
• Suspension and Termination: ThreePoints Solutions reserves the right to suspend or terminate account access in the event of billing failures, unmitigated acceptable use violations, or breaches of these commercial terms.

10. Limitation of Liability and Indemnity
Our liability to you in connection with our services or these terms, whether in contract, tort (including negligence), or otherwise, is limited as follows:
• Baseline Disclaimer: To the maximum extent permitted by New Zealand law, the StratFlow service is provided on an "as-is" and "as-available" basis without warranties of any kind, explicit or implied.
• Agreement Hierarchy: ThreePoints Solutions' baseline limitation of liability, legal disclaimers, and customer indemnity clauses are governed by these terms and any finalised commercial enterprise agreements executed by the parties.
• Exclusion of Consequential Loss: To the maximum extent permitted by law, we have no liability arising from your use of our services for any loss of revenue or profit, loss of goodwill, loss of customers, loss of capital, loss of anticipated savings, legal, tax or accounting compliance issues, damage to reputation, loss in connection with any other contract, or indirect, consequential, incidental, punitive, exemplary, or special loss, damage, or expense.
• Data Protection & Recovery Limit: For loss or corruption of your data, our liability will be strictly limited to taking reasonable commercial steps to attempt to recover that data from our nearest available system backups.

11. Intellectual Property Ownership
• Our Content: We own all rights, title, and interest in everything we have deployed within our services, unless otherwise explicitly stated or excluding proprietary content owned by third-party integrators. This includes rights in the software architecture, design, compilation, code, and global "look and feel" of our services.
• Protection: Our assets are protected by international copyright, trademark, design, patent, and intellectual property laws. You agree not to copy, distribute, modify, decompile, or make derivative works of any of our content, or use any of our intellectual property rights in any way not expressly permitted by us.

12. New or Revised Services
• Feature Evolution: We regularly expand, update, and modify our features to optimise the strategy-to-delivery workflow.
• Supplemental Terms: For entirely new or significantly revised services, additional or specialised terms may apply. We will notify you of these conditions before you begin utilising those specific features.

13. Document Version and Material Changes
• Modifications: We reserve the right to update these terms to reflect product changes, architectural updates, or evolving legal requirements.
• Acknowledgements: Material amendments to these Terms and Conditions will require renewed, explicit acknowledgement and agreement from users before continued use of the platform will be permitted.
